By accessing our website at whitelabeltaxiapp.com, purchasing our software, or using any of our services, you agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By accessing or using our website, requesting a demo, purchasing a license, or using our white label taxi app software platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients and posted on this page with an updated effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

2. Services Provided

White Label Taxi App provides white label ride-hailing software solutions, including but not limited to:

• Software licensing: Complete source code for rider mobile apps (iOS and Android), driver mobile apps (iOS and Android), and web-based admin/dispatch panels.
• Customization services: Branding, UI/UX customization, payment gateway integration, and localization services tailored to your market.
• Deployment support: App store submission, server configuration, and initial platform setup assistance.
• Technical support: Post-launch technical support, bug fixes, and platform maintenance as outlined in your service agreement.
• Consultation: Pre-sales consultation, product demos, and strategic guidance on launching and scaling ride-hailing operations.

The specific scope of services, deliverables, timelines, and pricing are defined in the individual service agreement or order form executed between you and White Label Taxi App. In the event of any conflict between these Terms and your service agreement, the service agreement shall prevail.

3. User Accounts

To access certain features of our platform, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the security and confidentiality of your login credentials and not share them with unauthorized individuals.
• Accept responsibility for all activities that occur under your account, whether authorized by you or not.
• Notify us immediately of any unauthorized use of your account or any other security breach.

We reserve the right to suspend or terminate your account if we reasonably believe that your account information is inaccurate, your account has been compromised, or you are in violation of these Terms.

4. Intellectual Property

Source Code Ownership

Upon full payment for your software license, you receive ownership of the delivered source code as specified in your service agreement. This means you may modify, extend, and deploy the source code for your own business operations without ongoing licensing fees or royalty payments to White Label Taxi App.

Pre-Existing Intellectual Property

Any proprietary frameworks, libraries, tools, or methodologies developed by White Label Taxi App prior to or independently of your project remain the intellectual property of White Label Taxi App. Where such pre-existing IP is incorporated into your deliverables, you receive a perpetual, non-exclusive license to use it as part of your platform.

Website Content

All content on the whitelabeltaxiapp.com website — including text, graphics, logos, images, videos, and software — is the property of White Label Taxi App and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our express written permission.

Restrictions

You may not resell, sublicense, or redistribute the unmodified white label taxi app software to third parties as a white label or SaaS product. The source code is licensed for your own branded ride-hailing business operations only, unless a reseller agreement has been separately executed.

5. Payment Terms

• Pricing: All prices are as quoted in your service agreement or as listed on our pricing page. Prices are subject to change, but changes will not affect existing orders or active service agreements.
• Payment schedule: Payment terms are defined in your service agreement. Typical structures include upfront payment, milestone-based payments, or split payments as agreed upon during the sales process.
• Late payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.
• Refunds: Due to the nature of software licensing and customization services, all sales are final once work has commenced. Refund eligibility, if any, is specified in your individual service agreement.
• Taxes: All prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by your jurisdiction.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• White Label Taxi App shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our services.
• Our total cumulative liability for all claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to White Label Taxi App during the twelve (12) months preceding the claim.
• We do not guarantee that our software will be error-free, uninterrupted, or free of vulnerabilities. While we strive for high quality and reliability, software is provided "as is" after delivery, and ongoing maintenance is subject to the terms of your support agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless White Label Taxi App, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of our software and services, including any rides, transactions, or disputes between riders and drivers on your platform.
• Your violation of these Terms or any applicable law or regulation.
• Your infringement of any third-party rights, including intellectual property rights.
• Any content, data, or information you upload, transmit, or process through the platform.

This indemnification obligation survives the termination of these Terms and your use of our services.

8. Termination

Either party may terminate the service relationship in accordance with the termination provisions outlined in the applicable service agreement. In addition:

• Termination for cause: We may terminate or suspend your access to our services immediately if you breach any material provision of these Terms, fail to make required payments, or engage in fraudulent or illegal activity.
• Effect of termination: Upon termination, your right to use any services provided on a subscription or ongoing basis will cease. However, your ownership of previously delivered source code (for which full payment has been received) is not affected by termination.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which White Label Taxi App is incorporated, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable arbitration body in the governing jurisdiction.

Nothing in these Terms shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
